RSGB Company Secretary

We are looking to recruit an RSGB Member to the voluntary position of Company Secretary.

The RSGB Company Secretary plays a key role in the Society’s governance and provides vital support in the running of Board meetings and the Annual General Meeting.

Role includes:

  • Recording and publishing the minutes of Board meetings
  • Managing the election processes for Board and Regional Representatives 
  • Reviewing, providing advice and updating the Society’s memorandum of association, articles of association and bylaws 
  • Acting as Society’s representative on governance issues
  • Chairing the RSGB Nomination Committee and maintaining a list of those volunteering to assist the RSGB at all levels.

Relevant key skills:

  • The postholder should have knowledge of operating legal frameworks 
  • Experience of operating within a not-for-profit organisation would be useful. As such, this role may well suit a Member who has been a local councillor, school governor or charity trustee
  • With a tenacious personality and strong influencing skills, the successful applicant will be able to effectively interpret and communicate legal information and advise the Board accordingly. Detailed legal knowledge is not required
  • Good user knowledge of IT specifically MS Office and email.

Time commitments:

  • Attendance at:
    • Board meetings (either Saturday daytimes or Friday evenings – dates are published well in advance)
    • Three Volunteer Leadership Team meetings per year, RSGB Convention and AGM 
  • Regular involvement, as required, by phone, email and Skype.
