{"id":19418,"date":"2018-03-08T14:20:26","date_gmt":"2018-03-08T14:20:26","guid":{"rendered":"https:\/\/rsgb.org\/main\/?page_id=19418"},"modified":"2018-03-12T11:30:10","modified_gmt":"2018-03-12T11:30:10","slug":"explanatory-notes","status":"publish","type":"page","link":"https:\/\/rsgb.org\/main\/archive\/events-archive\/agm-2018\/agm\/explanatory-notes\/","title":{"rendered":"Explanatory notes"},"content":{"rendered":"<p><a name=\"resolution-3\"><\/a><\/p>\n<h3>Explanatory note to Resolution 3<\/h3>\n<p>The <a href=\"https:\/\/rsgb.org\/main\/about-us\/memorandum-of-association\/\" target=\"_blank\" rel=\"noopener\"><strong>Articles<\/strong><\/a> require that Nominated Directors are endorsed by the Membership in a secret ballot on or before the AGM [Article 33C]. Philip Willis, M0PHI was recommended to the <strong><a href=\"https:\/\/rsgb.org\/main\/about-us\/board-of-directors\/\" target=\"_blank\" rel=\"noopener\">Board<\/a><\/strong> as a Nominated Director by the <strong><a href=\"https:\/\/rsgb.org\/main\/about-us\/board-of-directors\/nominations-committee\/\" target=\"_blank\" rel=\"noopener\">Nominations Committee<\/a><\/strong> in April 2017. The Board accepted the recommendation and also decided to co-opt him as a Director under Article 37 until the 2018 AGM. He has therefore served as a co-opted Director from May 2017 until the AGM.<br \/>\n<a name=\"resolution-5\"><\/a><\/p>\n<h3>Explanatory Note to Resolution 5<\/h3>\n<p>The <strong><a href=\"https:\/\/rsgb.org\/main\/about-us\/board-of-directors\/\" target=\"_blank\" rel=\"noopener\">Board<\/a><\/strong> is proposing, after extensive consultations, to rename <strong><a href=\"https:\/\/rsgb.org\/main\/about-us\/regional-managers\/\" target=\"_blank\" rel=\"noopener\">Regional Managers\/Regional Council<\/a><\/strong> Members as Regional Representatives (but retaining the arrangements for their election as at present) and to transform the existing Regional Council and <strong><a href=\"https:\/\/rsgb.org\/main\/about-us\/leadership-team\/\" target=\"_blank\" rel=\"noopener\">Leadership Team<\/a><\/strong> into a new body called the Volunteer Leadership Team. To effect these changes requires 28 separate changes in a 12-page document. An amended version of the Articles <a href=\"https:\/\/thersgb.org\/publications\/agms\/2018\/180309-amended-articles.pdf\" target=\"_blank\" rel=\"noopener\"><strong>can be downloaded here<\/strong><\/a> (12-page\/295KB PDF). HQ will send out a copy by email or post on request. An article by the President, Nick Henwood, G3RWF has set out the Board\u2019s reasons for recommending these changes, see April 2018 <em>RadCom<\/em>, page 15. They have been the subject of extensive consultation and debate within the Regional Council and the Leadership Team. The Board recommends that these changes be made.<br \/>\n<a name=\"resolution-6\"><\/a><\/p>\n<h3>Explanatory Note to Resolution 6<\/h3>\n<p>The <strong><a href=\"https:\/\/rsgb.org\/main\/about-us\/board-of-directors\/\" target=\"_blank\" rel=\"noopener\">Board<\/a><\/strong> was disappointed that by the closing date of 31 January 2018 no Member had been duly nominated for the role of President. The Board decided that it should:<\/p>\n<ol>\n<li>Immediately seek fresh nominations\u2014details of how to seek nomination can be found at <a href=\"https:\/\/rsgb.org\/nominations\" target=\"_blank\" rel=\"noopener\"><strong>rsgb.org\/nominations<\/strong><\/a>. The nomination period ends at 2359 on 26 April 2018<\/li>\n<li>Ask the AGM to amend the <a href=\"https:\/\/rsgb.org\/main\/about-us\/memorandum-of-association\/\" target=\"_blank\" rel=\"noopener\"><strong>Articles of Association <\/strong><\/a> to allow the Board to co-opt a President in future if no candidate for election is forthcoming after due advertisement.<\/li>\n<\/ol>\n<p>The Board hopes that a suitable candidate will now come forward and will serve as President until the 2020 AGM.
